1. Agreement to These Terms

Welcome to the website of DuPont Shipping & Logistics ("Company," "we," "us," or "our"), located in DuPont, Washington. By accessing or using this website (the "Site"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use the Site.

2. About Our Services

We provide third-party logistics (3PL) services, including warehousing, order fulfillment (pick and pack), and shipping coordination, from our facility in DuPont, Washington. The Site describes these services and allows you to request quotes and contact us.

3. Website Use Does Not Create a Service Contract

Information on this Site is provided for general informational purposes only. Submitting an inquiry, quote request, or booking request through the Site does not create a contract for warehousing, fulfillment, or shipping services, and does not obligate us to accept your goods.

 

All warehousing, fulfillment, and transportation services are provided solely under a separately executed Warehouse Services Agreement, rate quotation, and/or warehouse receipt issued by the Company (collectively, the "Service Agreement"). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement controls with respect to the services. We do not accept care, custody, or control of any goods, and no bailment is created, until goods are physically received and accepted at our facility under a Service Agreement.

4. Quotes and Pricing

Any rates or pricing displayed on the Site or provided in response to an online inquiry are estimates only, are subject to change, and are not binding until confirmed in a written quotation signed or issued by an authorized representative of the Company. Quotes are based on the information you provide; inaccurate or incomplete information (including dimensions, weights, volumes, SKU counts, or product characteristics) may result in revised pricing.

5. Accuracy of Information You Provide

You represent that all information you submit through the Site — including contact details, product descriptions, and shipment characteristics — is accurate and complete. You agree not to submit inquiries relating to goods we do not handle, including, without limitation, food, beverages, or perishable products of any kind, which we do not store or handle, or any goods that are unlawful to possess, store, or ship, unless expressly agreed in writing under a Service Agreement.

6. Permitted Use of the Site

You agree to use the Site only for lawful purposes. You may not: (a) attempt to gain unauthorized access to any portion of the Site or related systems; (b) use the Site to transmit malware or harmful code; (c) scrape, harvest, or copy Site content for competitive or commercial purposes without our written consent; (d) impersonate any person or entity; or (e) interfere with the proper operation of the Site.

7. Intellectual Property

All content on the Site — including text, graphics, logos, photographs, and layout — is the property of the Company or its licensors and is protected by copyright, trademark, and other intellectual-property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written permission, except for personal, non-commercial viewing.

8. Third-Party Links and Tools

The Site may contain links to third-party websites or use third-party tools (including scheduling, forms, and analytics). We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is at your own risk and subject to their terms.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NOTHING ON THE SITE CONSTITUTES A GUARANTEE OF SERVICE AVAILABILITY, CAPACITY, DELIVERY TIMES, OR PRICING.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Liability relating to goods stored or handled by the Company is governed exclusively by the applicable Service Agreement and warehouse receipt, including the limitations and time-for-claims provisions stated there, and by applicable law, including Article 7 of the Uniform Commercial Code as adopted in Washington (RCW 62A.7). Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.

12. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect and use personal information submitted through the Site.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Pierce County, Washington, and you consent to the personal jurisdiction of those courts.

15. Severability; Entire Agreement (Site Use)

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. These Terms constitute the entire agreement between you and the Company regarding use of the Site (and, for the avoidance of doubt, do not supersede any Service Agreement).

Having said that, Terms and Conditions (“T&C”) are a set of legally binding terms defined by you, as the owner of this website. The T&C set forth the legal boundaries governing the activities of the website visitors, or your customers, while they visit or engage with this website. The T&C are meant to establish the legal relationship between the site visitors and you as the website owner. 

 

T&C should be defined according to the specific needs and nature of each website. For example, a website offering products to customers in e-commerce transactions requires T&C that are different from the T&C of a website only providing information (like a blog, a landing page, and so on).     

 

T&C provide you as the website owner the ability to protect yourself from potential legal exposure, but this may differ from jurisdiction to jurisdiction, so make sure to receive local legal advice if you are trying to protect yourself from legal exposure.
